Terms & Conditions of Sale

The Grove Online Bull Sale — Myall Grove, Condamine QLD 4416. These terms govern all transactions conducted through The Grove online auction platform. By registering and participating in this sale, you agree to be bound by the following terms and conditions.

2. Registration Requirements

All prospective purchasers must register prior to bidding. Registration requires the following information as a minimum:

Upon successful registration, a unique bidder number and authentication token will be issued. Bidders are responsible for keeping their token secure. Any bids placed using your token are deemed to have been authorised by you.

Important: By registering, you confirm that you are at least 18 years of age and have the legal capacity and authority to enter into a binding contract for the purchase of livestock.

3. Bidding Rules

3.1 Binding Bids

All bids are legally binding offers to purchase. Once a bid is submitted, it cannot be retracted or withdrawn. By placing a bid, you are entering into a binding commitment to purchase the lot at the bid price should your bid be the highest at the close of bidding.

3.2 Bid Increments

The minimum bid increment for this sale is $500. Bids must meet or exceed the current minimum bid amount. The platform will reject any bids below the required minimum.

3.3 Soft Close Extension

This auction operates under a soft close system. If a bid is placed within the final 2 minutes before a lot's scheduled closing time, the closing time for that lot will be automatically extended by 2 minutes from the time of the bid. This extension process will continue until no further bids are received within the extension window, ensuring all bidders have a fair opportunity to respond.

3.4 Reserve Price

All lots are offered subject to a reserve price. If bidding does not meet the reserve price, the lot may be passed in. The Vendor reserves the right to negotiate with the highest bidder following a passed-in lot.

3.5 Vendor Bids

The Vendor reserves the right to bid on lots up to the reserve price, or to place a starting bid. Any such bids will be clearly identified.

3.6 Disputes

In the event of any dispute regarding a bid, the Vendor's decision shall be final. The Vendor reserves the right to reopen bidding, cancel a sale, or re-offer a lot at their sole discretion.

4. Payment Terms

Payment is due within seven (7) days of the fall of the hammer.

Full banking details will be provided on the purchaser's invoice following the sale. Title to the animal(s) does not pass to the Purchaser until payment has been received in full.

5. Goods & Services Tax (GST)

All prices are quoted exclusive of GST.

GST will be added to the hammer price at the prevailing rate (currently 10%). However, in accordance with the A New Tax System (Goods and Services Tax) Act 1999:

Purchasers must provide their ABN at the time of registration or promptly after the sale to facilitate correct invoicing.

6. Delivery & Collection

All livestock must be collected within fourteen (14) days of the sale date.

The Vendor may, at the Buyer's request and expense, assist in arranging transport. Any delivery arranged through the Vendor will be at the Buyer's sole risk and cost.

7. Risk Transfer

Risk in the animal(s) passes to the Purchaser on the fall of the hammer.

From the fall of the hammer, the Purchaser bears all risk of loss, injury, illness, or death of the animal(s), whether the animal(s) remain on the Vendor's property or are in transit. The Purchaser is strongly advised to arrange appropriate livestock insurance from the date of purchase.

While animals remain on the Vendor's property pending collection, the Vendor will exercise reasonable care in the management and husbandry of the animal(s), but accepts no liability for loss, injury, illness, or death howsoever caused.

8. Vendor Guarantees

The Vendor provides the following guarantees for all bulls offered at this sale, unless otherwise stated in the lot description:

Fertility re-test guarantee: If a bull fails a breeding soundness examination conducted by a qualified veterinarian within 12 months of the sale date (under normal working conditions), the Vendor will, at the Vendor's discretion, replace the bull with one of equal value or provide a refund of the purchase price. This guarantee is void if the bull has been subjected to mistreatment, overwork, inadequate nutrition, or conditions inconsistent with normal pastoral use.

All scan data, Estimated Breeding Values (EBVs), and performance records are provided in good faith from recognised breed society databases (PHA Breedplan) and independent scanning services. The Vendor does not warrant the accuracy of EBVs, as these are statistical estimates subject to change.

9. Withdrawals & Passed-In Lots

The Vendor reserves the right to withdraw any lot from the sale at any time prior to the fall of the hammer, without liability. Withdrawn lots will be clearly marked in the catalogue.

Lots that do not meet the reserve price may be passed in. The Vendor may enter into private negotiations with the highest bidder or any other interested party following a passed-in lot.

10. Dispute Resolution

In the event of any dispute arising from or in connection with this sale:

  1. Direct Negotiation: The parties shall first attempt to resolve the dispute through direct communication and good faith negotiation.
  2. Mediation: If the dispute cannot be resolved through negotiation within 14 days, either party may refer the matter to mediation administered by the Resolution Institute (or equivalent body) in Queensland.
  3. Governing Law: These terms and conditions are governed by the laws of Queensland, Australia. The parties submit to the exclusive jurisdiction of the courts of Queensland.

The costs of any mediation shall be borne equally by the parties. Each party shall bear their own legal costs unless otherwise ordered.

11. Limitation of Liability

To the maximum extent permitted by law, the Vendor's total liability in respect of any claim arising out of or in connection with the sale of any lot shall be limited to the hammer price of that lot.

The Vendor shall not be liable for any indirect, consequential, or special damages, including but not limited to loss of profit, loss of production, or loss of breeding opportunity.

Nothing in these terms excludes or limits any consumer guarantees or rights that cannot be excluded under the Australian Consumer Law.

12. Online Platform

The Vendor takes reasonable steps to ensure the online auction platform operates reliably. However, the Vendor accepts no liability for:

In the event of a significant platform failure during the sale, the Vendor reserves the right to extend, postpone, or cancel the sale at their sole discretion.

13. Privacy Policy

The Grove collects personal information from bidders for the purpose of conducting this sale and communicating sale results. Your information will be handled in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

Information collected may include your name, contact details, property name, location, and bidding activity. This information:

Bidder numbers (not names or personal details) may be displayed publicly during the auction to identify high bidders on each lot.

You may request access to, correction of, or deletion of your personal information by contacting the Vendor directly.
